These Terms of Service ("Terms," "Agreement") form a binding contract between you and Cynorex Corporation, a Delaware corporation ("Cynorex," "we," "us," or "our"). These Terms govern your access to and use of the Cynorex websites, applications, APIs, AI-driven systems, communication tools, and related services (collectively, the "Platform").
By accessing or using any part of the Platform, you agree to be bound by these Terms. If you do not accept these Terms, you must not use the Platform.
1. Definitions
User
means any individual or entity accessing or using the Platform, including Job Seekers, Employers, recruiters, and visitors.
Job Seeker
means a User who creates a profile, uploads a resume, applies to jobs, or seeks employment opportunities.
Employer
means a User acting on behalf of a company or organization that posts jobs, views candidate profiles, uses hiring tools, or administers recruiting activities.
AI Systems
means Cynorex's algorithmic and machine-learning tools used to provide Platform functionality, such as resume parsing, skill extraction, and job matching.
User Content
means any content submitted to the Platform, including resumes, profiles, job posts, messages, and attachments.
2. Accepting These Terms and Changes
You accept these Terms by creating an account, accessing the Platform, uploading User Content, using AI features, applying to or posting jobs, or otherwise using the Platform.
We may update these Terms from time to time. If we make material changes, we will post the updated Terms with a revised "Last Updated" date. Your continued use of the Platform after changes become effective means you accept the updated Terms.
3. Eligibility
You may use the Platform only if you:
- Are at least 16 years old (or the minimum legal working age in your location, whichever is higher).
- Have the legal capacity to enter into a binding contract.
- Are not prohibited from receiving services under applicable U.S. laws, including sanctions restrictions.
- Have not been previously suspended or banned from the Platform, unless authorized by Cynorex.
4. Platform Description and Cynorex's Role
4.1 Technology Platform Only
Cynorex is a technology platform designed to connect Job Seekers and Employers through software tools and AI-assisted features.
Cynorex is not an employer, employment agency, recruitment firm, or labor provider. Cynorex does not control, direct, or participate in hiring decisions, employment terms, workplace conduct, or employment relationships.
4.2 No Guarantee of Outcomes
Cynorex does not guarantee job placement, hiring outcomes, interview requests, or the accuracy of job listings, candidate profiles, or AI-generated insights. AI outputs and recommendations are provided for informational purposes only.
4.3 Availability
We aim to keep the Platform available, but we do not guarantee uninterrupted or error-free operation. The Platform may be unavailable due to maintenance, updates, outages, cyber incidents, or third-party failures.
5. User Accounts and Responsibilities
5.1 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify us promptly of unauthorized access.
5.2 Accurate Information
You agree that information you provide is truthful, accurate, and kept current. You must not impersonate others or misrepresent your identity.
6. Prohibited Activities
You must not, and must not attempt to:
- Scrape, crawl, harvest, or collect Platform data without written permission.
- Reverse engineer, decompile, or attempt to extract source code or underlying methods from the Platform or AI Systems.
- Bypass or interfere with security, access controls, rate limits, or protections.
- Use bots or unauthorized automation to access or interact with the Platform.
- Create multiple accounts to evade restrictions or enforcement.
- Post fraudulent or misleading job listings, including jobs intended to harvest data.
- Send spam or mass messages unrelated to legitimate recruitment.
- Use the Platform to build or train competing services using Platform data or outputs.
- Upload malicious code or harmful content.
Reports of violations may be sent to safety@cynorex.com.
7. Job Seeker Terms
7.1 Profile and Resume Content
Job Seekers are responsible for the accuracy of their profiles and resumes, including work history, education, skills, and certifications.
7.2 Profile Visibility
Job Seekers may have visibility options such as:
- Searchable Mode: Employers can discover your profile through search and recommendations.
- Private Mode: Only Employers you apply to can view your information.
Availability of these settings may vary by feature and region.
7.3 AI Processing Notice
By uploading a resume or profile data, you authorize Cynorex to process that content to provide Platform functionality, including resume parsing, skill extraction, normalization, and matching. You understand AI outputs may contain inaccuracies and you are responsible for reviewing and correcting your information.
8. Employer Terms
8.1 Employer Eligibility and Job Posting Standards
Employers must be legitimate organizations and must post only lawful and accurate job opportunities.
Employers must not post:
- Fraudulent or nonexistent job listings
- Misleading roles (including bait-and-switch)
- Listings requiring unlawful upfront payments
- Discriminatory listings that violate applicable law
- Multi-level marketing schemes or deceptive recruiting
8.2 Handling Candidate Data
When Employers receive candidate data through the Platform, they agree to:
- Use candidate data only for legitimate recruitment and hiring purposes.
- Maintain reasonable administrative, technical, and organizational security safeguards.
- Limit access internally to authorized personnel.
- Not sell or share candidate data with third parties except as required for recruitment operations and in compliance with applicable laws.
- Delete or anonymize candidate data when no longer necessary for legitimate recruitment purposes, subject to applicable legal requirements.
Employers are independently responsible for their compliance with employment and privacy laws.
9. Artificial Intelligence Systems
9.1 AI Uses
Cynorex uses AI Systems to support Platform functionality, which may include:
- Resume parsing and structured data extraction
- Skill inference and normalization
- Match scoring and ranking
- Recommendations for jobs or candidates
- Fraud detection and platform integrity checks
9.2 Limitations
AI outputs are probabilistic and may be incomplete or incorrect. Cynorex does not guarantee AI accuracy.
9.3 Responsible Use
Employers agree that AI outputs must not be the sole basis for decisions that significantly affect individuals where prohibited by law. Employers remain responsible for lawful and fair hiring practices.
10. User Content, Ownership, and License
10.1 Ownership
Users retain ownership of their User Content.
10.2 License to Cynorex
By submitting User Content, you grant Cynorex a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, and distribute your User Content only as necessary to operate, maintain, and improve the Platform, including providing AI-assisted features you choose to use.
10.3 Content Standards
User Content must not:
- Infringe intellectual property or privacy rights
- Contain false or misleading information
- Include malicious code
- Contain unlawful discriminatory or harassing content
- Violate applicable laws
11. Privacy, Cookies, and Data Protection
Your privacy is important to us. Our processing of personal data is described in our Privacy Policy.
Cynorex uses only strictly necessary and functional cookies to operate the Platform and remember preferences. Cynorex does not use analytics, advertising, or marketing cookies at this time.

12. Intellectual Property
The Platform, including its features and functionality, is owned by Cynorex and protected by intellectual property laws.
Except for the limited rights expressly granted in these Terms, you may not copy, modify, distribute, sell, lease, or create derivative works of the Platform.
You must not reverse engineer or attempt to derive the methods or underlying structure of Cynorex AI Systems.
13. Paid Services, Subscriptions, and Billing
If you purchase paid services, you agree to pay all applicable fees and taxes. Subscription fees are billed in advance on a recurring basis unless otherwise stated.
You may cancel at any time. Unless required by law, fees are non-refundable for partial billing periods.
We may modify pricing with reasonable notice. Continued use after pricing changes take effect constitutes acceptance of the updated pricing.
14. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYNOREX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
CYNOREX DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY JOB SEEKER WILL OBTAIN EMPLOYMENT OR ANY EMPLOYER WILL HIRE CANDIDATES THROUGH THE PLATFORM.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYNOREX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
IN ALL CASES, CYNOREX'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM WILL NOT EXCEED THE AMOUNT YOU PAID TO CYNOREX IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100) IF YOU PAID NOTHING.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
16. Indemnification
You agree to indemnify, defend, and hold harmless Cynorex and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Platform
- Your User Content
- Your violation of these Terms
- Your violation of applicable law
- Your infringement of third-party rights
17. Dispute Resolution and Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Except where prohibited by law, disputes will be resolved by binding arbitration under the rules of the American Arbitration Association.
You and Cynorex agree that any dispute resolution will be conducted on an individual basis, and not as a class action, to the extent permitted by law.
18. Termination
We may suspend or terminate your access to the Platform if we reasonably believe you violated these Terms, created risk, or misused the Platform.
You may terminate your account at any time through account settings (if available) or by contacting us.
Upon termination, your right to use the Platform ends immediately. Provisions that by their nature should survive termination will survive.
19. General Terms
Entire Agreement
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Cynorex regarding the Platform.
Severability
If any provision is held invalid, the remaining provisions remain in effect.
